AGREEMENT TO SELL (BAYANA)

(Immovable Property — Pakistan)

This Agreement to Sell is made and executed at [City] on this [Day] day of [Month], [Year] by and BETWEEN:

Mr./Mrs. [Full Name], S/o / D/o / W/o [Father's / Husband's Name], holder of CNIC No. [CNIC Number], resident of [Address] (hereinafter referred to as the “SELLER/VENDOR”) of the ONE PART.

AND

Mr./Mrs. [Full Name], S/o / D/o / W/o [Father's / Husband's Name], holder of CNIC No. [CNIC Number], resident of [Address] (hereinafter referred to as the “BUYER/VENDEE”) of the OTHER PART.

WHEREAS

The Seller is the lawful and absolute owner in possession of [Property Description], bearing Khasra/Plot/Property No. [Khasra / Plot / Property No.], measuring [Area / Size], situated at [Full Address] (hereinafter referred to as “the Property”), free from all encumbrances, liens, and third-party claims, and has agreed to sell the Property to the Buyer for a total sale consideration of Rs. [Total Sale Price (Figures)]/- ([Total Sale Price (in Words)] Only), on the following terms and conditions:

The total agreed sale price of the Property is Rs. [Total Sale Price (Figures)]/- ([Total Sale Price (in Words)] Only).

The Buyer has paid a sum of Rs. [Token / Bayana Amount (Figures)]/- ([Token / Bayana Amount (in Words)] Only) as token/Bayana (advance/earnest money) to the Seller at the time of signing this Agreement, receipt whereof the Seller hereby acknowledges.

The remaining balance sale consideration of Rs. [Balance Amount (Figures)]/- ([Balance Amount (in Words)] Only) shall be paid by the Buyer to the Seller on or before [Balance Payment Date], at the time of execution and registration of the Sale Deed/Transfer of the Property.

The Seller shall deliver vacant physical possession of the Property to the Buyer on [Possession Handover Date].

The Seller undertakes that the Property is free from any mortgage, litigation, dispute, attachment, or any other encumbrance, and that the Seller has full right and title to sell the same.

Upon receipt of the full and final sale consideration, the Seller shall execute the registered Sale Deed / Transfer Deed and complete the mutation of the Property in favour of the Buyer, at the [Who Bears Transfer/Registration Expenses]'s expense, before the concerned Sub-Registrar / Society / Development Authority.

In the event the Seller fails or refuses to complete the sale/transfer as agreed, the Seller shall be liable to refund the Buyer double the amount of token/Bayana received, in addition to any other remedy available to the Buyer under law.

In the event the Buyer fails to pay the balance consideration by the agreed date without lawful cause, the token/Bayana amount paid shall stand forfeited in favour of the Seller.

All costs of stamp duty, registration fee, and mutation charges shall be borne by the [Who Bears Transfer/Registration Expenses], unless otherwise agreed in writing.

This Agreement shall be binding on the legal heirs, successors, and assigns of both parties.

Any dispute arising out of this Agreement shall be subject to the exclusive jurisdiction of the courts at [City].
